Terms of Service

This English version is provided for convenience. If it differs from the Japanese version, the Japanese version prevails. These Terms of Service (the “Terms”) set out the conditions for using SealGate (the “Service”), a passkey authentication platform provided by SHANNON LIMITED LIABILITY COMPANY (“we” or “us”). Companies, organizations and individuals who use the Service (“you”) use the Service after agreeing to these Terms.

Article 1 (Scope)

These Terms apply to every relationship between you and us concerning your use of the Service. Documentation and individual notices we publish on the Service form part of these Terms.

Article 2 (Accounts)

1. You must provide true and accurate information when you register.
2. You are responsible for managing your API keys and the password, passkeys and Google or GitHub accounts you use to log in to the dashboard, and must not disclose or lend them to any third party. Actions taken with your API keys are deemed to be your actions.
3. If you suspect an API key has leaked, you must promptly revoke it in the dashboard.

Article 3 (The Service)

1. The Service provides registration, authentication, revocation and recovery of passkeys (FIDO2 / WebAuthn) for the users of your systems (“End Users”) through an API and a browser SDK.
2. The Service does not hold personal information of End Users, such as names or email addresses. What we hold is the End User IDs you assign, passkey public keys, authenticator types, and records of registrations and authentications.
3. You are responsible for verifying the identity of End Users in recovery (re-registration by an End User who has lost their device). We do not verify identity.
4. We may change the contents of the Service without notifying you. However, we announce changes to fees or to the contents of plans on the Service in advance.

Article 4 (Fees and payment)

1. Use of the test environment is free of charge. We may change the contents or limits of the test environment, or stop providing it.
2. Fees for Live use are step-based. For each billing period (one month starting from the day you add a card), you pay the monthly price of the step that the number of End Users who logged in to the Live environment at least once in that period (MAU) falls into. The steps and prices are set out on the pricing page of the Service. All prices shown exclude tax.
3. If you have not added a payment method, you can use the Service free of charge up to 1,000 MAU per calendar month. Once the limit is reached, End Users who have not yet logged in that month cannot log in.
4. Enterprise fees are set out in an individual agreement between you and us.
5. Fees are paid by credit card through the payment processor we designate (Stripe), or on the basis of an invoice we issue. Card payments are charged automatically at the end of each billing period, based on that period’s MAU. Invoices must be paid by the end of the following month.
6. Fees paid are not refunded, except where the cause is attributable to us.

Article 5 (Prohibited conduct)

When using the Service, you must not:

1. violate laws or public order and morals, or act in a way that risks doing so;
2. impersonate a third party, or register or use another person’s passkey without authorization;
3. place excessive load on the servers or network of the Service, or reverse engineer the Service;
4. use information obtained through the Service for purposes other than the Service;
5. do anything else we consider inappropriate.

Article 6 (Handling of data)

1. We retain authentication records (date and time, IP address, browser type, and success or failure) to the extent necessary to provide the Service, handle incidents, prevent abuse, and compile usage statistics. We keep these records (the audit log in the dashboard) for one year and delete records older than one year.
2. You are responsible for giving End Users the necessary explanation of how passkey authentication works and of your entrustment of processing to us, and for obtaining their consent.
3. You can revoke your End Users’ passkeys in the dashboard at any time.

Article 7 (Suspension and changes of the Service)

1. We may suspend all or part of the Service without prior notice to you for maintenance of equipment, response to incidents, natural disasters or other unavoidable reasons.
2. We may suspend your account if you breach these Terms or fail to pay fees.

Article 8 (Disclaimer)

1. The Service is provided as is. We do not warrant that the Service fits your particular purpose, or that it will operate without interruption.
2. Except in cases of our willful misconduct or gross negligence, our liability for damages to you is limited to the amount of fees you paid us for the month in which the cause of the damage arose.
3. We are not responsible for disputes arising between you and End Users or other third parties.

Article 9 (Cancellation)

You can cancel usage-based billing yourself at any time in the billing portal, opened from Billing in the dashboard. Cancellation takes effect at the end of the billing period, and you can keep using usage-based billing until then. Fees for that billing period are charged at the end of the period as described in Article 4. To stop using the Service, delete your organization in the dashboard or contact us through the contact form. After the organization is deleted, we delete your data (including End Users’ public keys and records) within a reasonable period.

Article 10 (Changes to these Terms)

We may change these Terms when we consider it necessary. The changed Terms take effect when posted on the Service. For material changes, we also notify the registered email address in addition to posting them.

Article 11 (Governing law and jurisdiction)

These Terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction, by agreement, as the court of first instance over any dispute between you and us concerning the Service.
